In the morning of August 10, 2015, at Nha Trang, PetroVietnam Fertilizer and Chemicals Corporation (PVFCCo) held the Representative Conference 2015 for assessment of Representatives’ tasks in member companies and associate companies in 2014 and the first half of 2015.
Attendees included Mr. Le Cu Tan – Chairman of BOD, Mr. Cao Hoai Duong – President & CEO and members of the BOD, BOM, Supervisory Board, leaders of functional divisions of PVFCCo, and Representatives in member companies and associated companies with invested capital from PVFCCo.
At the opening of the Conference, Ms. Nguyen Thi Hien – BOD Vice Chairwoman reported on the BOD’s general assessment of representatives’ tasks in 2014 and the first half of 2015. Major issues in the Report included: overview of Representatives’ tasks; business results of companies with the presence of PVFCCo’s representatives; general assessment of Representatives’ tasks in 2014; Compliance with PVFCCo’s orientation, policy and regulations on Representatives’ tasks in the companies; Operation results of subsidiary and associate companies; General assessment of Representatives’ tasks in associate companies and efficiency of financial investment.
In the program, the Conference listened to speeches of functional divisions and representatives of subsidiary and associate companies on Representatives’ tasks with topics: Risk management of working capital in Phu My fertilizer self-trading; Exercising obligations and responsibilities of PVFCCo’s representative in PVFCCp SBD regarding to implementation of company restructure; Report on exercising obligations and responsibilities of PVFCCo’s representatives in role-based management and supervision tasks in associate companies (PVTEX, PVC Mekong); Exercising obligations and responsibilities of public and listed companies; Exercising the Representative’s obligations and responsibilities in PVFCCo Packaging Joint Stock Company at the time of conversion of a subsidiary company into an associated company of PVFCCo; Responsibilities of legal representatives of companies; Business co-operation forms.
Also at the Conference, the delegates were actively involved in discussing and sharing practical opinions in an effort to help Representatives fulfill their tasks. Especially, the discussion was focused on risk management of working capital for self-trading activities, efficiency improvement of Representatives’ tasks in subsidiary and associate companies and removal of any obstacles in corporate restructure.
Addressing the Conference, the leadership of PVFCCo congratulated PVFCCo’s Representatives and praised their achievements in completing key missions, such as: ensuring business efficiency, implementing tasks in accordance with the restructure plan approved by PVN; listing of shares of member companies on the stock market. Besides, PVFCCo leadership also reminded the Representatives of some shortcomings in their tasks requiring improvement and urged them to keep up with drastic instructions for early completion of 2015 business targets; Continue with the restructure plan, satisfying requirements on efficiency and progress; Improve the corporate management model; Regularly keep updated with legal documents, regulations on representatives; Ensure efficiency, improve management tasks and risk management regarding to Phu My fertilizer trading activities.
